Ⅱ. Key Investment & Partnership Details (2nd NEGO)
Partners joining through this round will be granted the status of Inside Director (Executive) along with their equity holding. This provides an opportunity to exercise management capabilities by participating in the headquarters' major decision-making processes.
Subject of Sale : 10% equity in AISPORTS.KR
Investment Scale : KRW 450 Million – 900 Million (Priority contract for the highest-price, upfront investor)
Core Benefits : Appointment as an Inside Director of the headquarters
Authority for management consulting and global network cooperation
Exit Strategy Goal : To be implemented in stages starting 6 months after the investment execution
Future Vision : Aiming for KOSDAQ / NASDAQ listing and a corporate valuation of KRW 10 Trillion

[Investment Agreement]
Article 4 (Payment of Investment and Immediate Formation of Contract)

Principle of Priority Based on Prepayment :
This Agreement shall take effect immediately, and the investment rights shall be finalized at the moment the Investor deposits the full amount of the investment into the aforementioned account, even prior to the formal signing and sealing of this Agreement by the parties.
Termination of Other Investment Proposals :
Upon confirmation of the Investor's deposit, all other investment attraction activities and proposals by the Company related to this specific investment (10% equity stake) shall be automatically terminated without further notice.
Follow-up Procedures :
The Company shall complete all legal procedures, including the issuance of shares, entry into the register of shareholders, and registration of changes, within three (3) months after the completion of the investment payment, and shall provide the Investor with the relevant supporting documents.

투자 규모 : 4.5억 원 ~ 9억 원 (최고가 선입금 투자자 우선 계약 방식)
핵심 혜택 : 본사 사내 이사(Inside Director) 자격 부여
경영 자문 및 글로벌 네트워크 협력 권한
수익 실현 목표 : 투자 집행 6개월 이후 시점부터 단계적 추진
미래 가치 비전 : KOSDAQ / NASDAQ 상장 및 기업 가치 10조 원 달성 목표

선입금 우선의 원칙 : 본 계약은 당사자 간 기명날인 전이라도, 투자자가 위 계좌로 투자금 전액을 입금한 시점에 즉시 효력이 발생하며 투자 권리가 확정된다.
타 투자 제안의 종료 : 투자자의 입금이 확인되는 즉시, 본 투자 건(지분 10%)과 관련된 회사의 다른 모든 투자 유치 활동 및 제안은 별도의 통보 없이 자동 종료된다.
후속 절차 : 회사는 투자금 납입 완료 후 3개월 이내에 주식 발행, 주주명부 등재 및 변경등기 등 법적 절차를 완료하여 증빙을 전달한다.
