Ⅱ. Key Partnership Details
Partners joining through this round will be granted an equity stake along with the status of Inside Director (Executive), providing the opportunity to exercise management expertise and participate in the headquarters' major decision-making processes.
Asset for Sale : 10% Equity Stake in AISPORTS.KR
Investment Scale : KRW 9 billion – KRW 10 billion (Priority contract awarded to the highest bidder/first-come prepayment basis)
Core Benefits : Granting of Inside Director status at headquarters.
Authority for management consulting and global network cooperation.
Profit Realization Target : Phased implementation starting 6 months after investment execution.
Future Vision : Target KOSDAQ / NASDAQ listing and achievement of KRW 10 Trillion corporate valuation.

Reference : Investment Contract
Article 4 (Payment of Investment and Immediate Execution of Contract)

Principle of Prepayment Priority : This contract shall take effect immediately, and investment rights shall be finalized the moment the Investor deposits the full investment amount into the above account, even prior to the formal signing and sealing by both parties.
Termination of Other Investment Proposals : Immediately upon confirmation of the Investor’s payment, all other investment attraction activities and proposals related to this specific transaction (10% stake) shall be automatically terminated without further notice.
Follow-up Procedures : The Company shall complete all legal procedures, including the issuance of shares, entry into the shareholder registry, and registration of changes, within three (3) months of the completion of the investment payment, and shall provide the Investor with the relevant supporting documents.

수익 실현 목표 : 투자 집행 6개월 이후 시점부터 단계적 추진

선입금 우선의 원칙 : 본 계약은 당사자 간 기명날인 전이라도, 투자자가 위 계좌로 투자금 전액을 입금한 시점에 즉시 효력이 발생하며 투자 권리가 확정된다.
타 투자 제안의 종료 : 투자자의 입금이 확인되는 즉시, 본 투자 건(지분 10%)과 관련된 회사의 다른 모든 투자 유치 활동 및 제안은 별도의 통보 없이 자동 종료된다.
후속 절차 : 회사는 투자금 납입 완료 후 3개월 이내에 주식 발행, 주주명부 등재 및 변경등기 등 법적 절차를 완료하여 증빙을 전달한다.
