INVESTMENT AGREEMENT

(Redeemable Convertible Preferred Shares - RCPS)

This Investment Agreement (the "Agreement") is entered into by and between the parties listed below:

Article 1 (The Parties)

• The Company : AIsports.kr (the "Company")

  • The Company is an AI-based global leisure sports platform hub specializing in the analysis, prediction, and provision of source data generated from various leisure sports, including horse racing, motorboat racing, cycle racing, Sports Toto, Olympics, World Cup, and e-sports using deep learning technology.

• The Investor : ____________________ (the "Investor")

Article 2 (Purpose of Investment and First-Come, First-Served Principle)

1. The purpose of this Agreement is to secure strategic funding for the enhancement of the Company’s AI-based leisure sports analysis platforms, sports content services, B2C broadcasting platforms, and its expansion into global markets.

2. The Parties hereby confirm that this investment is a strategic opportunity limited to 10% of the total issued and outstanding shares of the Company and is offered on a "first-come, first-served" basis to a single individual or institution.

Article 3 (Investment Terms)

• Investment Type : Equity Investment (Redeemable Convertible Preferred Shares, "RCPS")

• Investment Amount : KRW ____________________ (₩)

• Number of Shares to be Issued: A quantity equivalent to 10% of the Company’s total issued shares at the time of execution.

• Voting Rights : One (1) vote per share, equal to common shares.

• Dividends : Cumulative preferential dividend of at least 1% per annum based on the issue price.

• Conversion Rights : The Investor may convert all or part of the preferred shares into common shares at any time from the date of issuance (Conversion ratio 1:1, subject to adjustment for capital changes).

• Redemption Rights : After five (5) years from the investment date, the Investor may request redemption at the principal amount plus 5% annual compound interest, provided that redemption is made within the scope of distributable profits under the law.

• Liquidation Preference : Upon a "Liquidity Event" (liquidation, merger, or sale of business), the Investor shall have the right to receive the "Investment Principal + Unpaid Dividends" in preference to common shareholders.

Article 4 (Payment of Investment and Immediate Formation of Contract)

2. Principle of Priority by Prepayment : Notwithstanding the formal execution of this Agreement, this Agreement shall become immediately effective and the investment rights shall be finalized at the moment the Investor completes the full wire transfer of the Investment Amount to the designated account.

3. Termination of Other Proposals : Upon confirmation of the Investor’s payment, all other investment proposals or activities related to the 10% equity stake shall automatically terminate without further notice.

4. Closing Procedures : The Company shall complete all legal procedures, including share issuance, entry into the shareholder register, and registration of changes, within three (3) months after the payment is completed and provide proof thereof to the Investor.

Article 5 (Representations and Warranties)

1. Company : The Company is a corporation duly organized and existing under the laws of the Republic of Korea and warrants that all financial and business information provided is true and accurate.

2. Investor : The Investor warrants that the funds are from a legal source and that they have the full legal capacity and authority to enter into this Agreement.

Article 6 (Reporting and Transfer Restrictions)

1. The Company shall provide a management and financial report to the Investor at least once a year via written document or email.

2. The Investor shall not transfer the shares acquired under this Agreement to a third party without the prior written consent of the Company.

Article 7 (Confidentiality)

Neither party shall disclose trade secrets, technical info, or the specific terms of this Agreement to third parties. This obligation remains in effect for two (2) years after the termination of the Agreement.

Article 8 (Termination and Damages)

1. Either party may terminate this Agreement if the other party commits a material breach and fails to cure it within 14 days of receiving notice.

2. The defaulting party shall compensate the other party for any actual damages incurred due to the termination.

Article 9 (Governing Law and Jurisdiction)

This Agreement shall be governed by the laws of the Republic of Korea. Any dispute arising hereunder shall be subject to the exclusive jurisdiction of the court having jurisdiction over the Company’s registered head office.

Article 10 (Miscellaneous)

1. Matters not specified herein shall be governed by relevant laws and general commercial practices.

2. This Agreement becomes effective on the date of signing or at the moment the wire transfer is completed as per Article 4, Paragraph 2, whichever occurs earlier.

투자 계약서 (상환전환우선주 방식)

본 투자 계약서(이하 "본 계약")는 아래의 당사자 간에 체결된다.

제1조 (당사자)

• 회사 : AIsports.kr (이하 "회사")

  • 회사는 AI 기반 글로벌 레저스포츠 플랫폼 허브 기업으로서, 딥러닝 기술을 활용하여 경마, 경정, 경륜, 스포츠토토, 올림픽, 월드컵, e-스포츠 등 다양한 레저스포츠 분야의 원시 데이터(Source Data) 분석·예측·제공 사업을 영위한다.

• 투자자 : ____________________ (이하 "투자자")

제2조 (투자의 목적 및 선착순 원칙)

1. 본 계약은 회사의 AI 플랫폼 고도화 및 글로벌 시장 진출을 위한 전략적 자금 조달을 목적으로 한다.

2. 본 투자 건은 회사 발행주식 총수 대비 10%의 지분에 한하여 한시적으로 진행되며, **"선착순 1인(또는 1개 기관)"**에게만 부여되는 독점적 투자 기회임을 당사자 간에 확인한다.

제3조 (투자 내용)

• 투자 형태 : 지분 투자 (상환전환우선주, RCPS)

• 청산 우선권 : 잔여재산 분배 시 '투자원금 + 미지급 배당금' 우선 회수권

제4조 (투자금 납입 및 계약의 즉시 성립)

2. 선입금 우선의 원칙 : 본 계약은 당사자 간 기명날인 전이라도, 투자자가 위 계좌로 투자금 전액을 입금한 시점에 즉시 효력이 발생하며 투자 권리가 확정된다.

3. 타 투자 제안의 종료 : 투자자의 입금이 확인되는 즉시, 본 투자 건(지분 10%)과 관련된 회사의 다른 모든 투자 유치 활동 및 제안은 별도의 통보 없이 자동 종료된다.

4. 후속 절차 : 회사는 투자금 납입 완료 후 3개월 이내에 주식 발행, 주주명부 등재 및 변경등기 등 법적 절차를 완료하여 증빙을 전달한다.

제5조 (진술 및 보증)

1. 회사 : 회사는 적법하게 설립된 법인이며, 제공한 재무 및 사업 정보에 허위가 없음을 보증한다.

2. 투자자 : 투자 자금은 합법적인 자원이며, 본 계약을 체결할 정당한 권한이 있음을 보증한다.

제6조 (경영 현황 보고 및 지분 양도)

1. 회사는 연 1회 이상 경영 및 재무 상태를 투자자에게 서면 또는 전자메일로 보고한다.

2. 투자자는 회사의 서면 동의 없이 본 계약으로 취득한 주식을 제3자에게 양도할 수 없다.

제7조 (비밀유지)

당사자는 본 계약 내용 및 상대방의 영업비밀을 제3자에게 누설하지 아니하며, 이 의무는 계약 종료 후 2년간 유효하다.

제8조 (계약의 해지 및 손해배상)

1. 일방 당사자가 계약을 위반하고 14일 이내에 시정하지 않을 경우 상대방은 계약을 해지할 수 있다.

2. 위반 당사자는 이로 인해 발생한 상대방의 실질적인 손해를 배상하여야 한다.

제9조 (준거법 및 관할)

본 계약은 대한민국 법을 따르며, 분쟁 발생 시 회사 본점 소재지 관할 법원을 제1심 전속적 관할 법원으로 한다.

제10조 (기타 사항)

1. 본 계약에 명시되지 않은 사항은 관계 법령 및 상관례에 따른다.

2. 본 계약은 당사자가 서명 또는 기명날인한 시점, 또는 제4조 제2항에 따른 투자금 입금이 완료된 시점 중 빠른 날에 발효된다.
